1. Acceptance of Terms

By installing, accessing, or using the PopupBoost app ("App"), developed by Grinduck, you ("Merchant," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, do not install or use the App.

These Terms constitute a legally binding agreement between you and Grinduck ("we," "us," or "our") governing your use of the App and related services (collectively, the "Service").

2. Description of Service

PopupBoost is a Shopify application that enables Merchants to create and manage gamified popups, including:

  • Spin wheel campaigns
  • Discount popups and promotional banners
  • Email and SMS collection forms
  • Scratch card campaigns
  • Targeted popup display based on visitor behavior

The App integrates with your Shopify store to display interactive popups that help convert visitors into subscribers and customers.

3. Account and Registration

3.1 Shopify Account

To use PopupBoost, you must have a valid Shopify store and account. By installing the App, you authorize us to access certain store data as described in our Privacy Policy.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the security of your Shopify account
  • All activities that occur through your use of the App
  • Ensuring that your use of the App complies with Shopify's terms of service
  • Providing accurate and current information

4. Subscription and Billing

4.1 Plans and Pricing

PopupBoost offers various subscription plans, including a free tier. Paid plans are billed through Shopify's billing system. Pricing details are available on our pricing page and within the Shopify App Store listing.

4.2 Billing Cycle

  • Subscription charges are billed on a recurring basis through Shopify
  • Your billing cycle begins on the date you subscribe to a paid plan
  • All charges are processed by Shopify according to their billing policies

4.3 Upgrades and Downgrades

  • You may upgrade or downgrade your plan at any time
  • Changes take effect according to Shopify's billing practices
  • Downgrading may result in loss of access to certain features

4.4 Refunds

Refund requests are handled on a case-by-case basis. Please contact us at support@grinduck.com for refund inquiries. Refunds are subject to Shopify's billing policies.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

  • Use the App to send spam or unsolicited communications
  • Collect personal data without proper consent or legal basis
  • Use the App in violation of any applicable laws or regulations
  • Attempt to reverse-engineer, decompile, or disassemble the App
  • Interfere with or disrupt the Service or its infrastructure
  • Use the App to distribute malicious content or malware
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the App to engage in deceptive or misleading marketing practices

We reserve the right to suspend or terminate your access if we determine that you have violated these Terms.

6. Merchant Responsibilities

As a Merchant using PopupBoost, you are responsible for:

  • Complying with all applicable laws, including GDPR, CAN-SPAM, CCPA, and other data protection and marketing regulations
  • Obtaining all necessary consents from your store visitors before collecting their data
  • Providing clear and accurate privacy notices on your store
  • Ensuring that popup content is truthful and not misleading
  • Honoring all discount codes and promotional offers generated through the App
  • Maintaining compliance with Shopify's terms of service and acceptable use policies

7. Intellectual Property

7.1 Our Intellectual Property

The App, including its design, code, features, documentation, and branding, is owned by Grinduck and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App in connection with your Shopify store.

7.2 Your Content

You retain ownership of content you create using the App (popup text, images, configurations). By using the Service, you grant us a limited license to use your content solely to provide and improve the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without obligation to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect data.

Key points:

  • We process visitor data on your behalf as a data processor
  • You remain the data controller for visitor data collected through your store
  • We implement reasonable security measures to protect data
  • Data handling is subject to our Privacy Policy and applicable data protection laws

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Results

We do not guarantee any specific results from using the App, including conversion rates, subscriber growth, or revenue increases.

9.3 Limitation of Liability

To the maximum extent permitted by law, Grinduck shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

  • Loss of revenue or profits
  • Loss of data
  • Business interruption
  • Any damages resulting from unauthorized access to your data

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Grinduck, its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Your popup content or marketing practices
  • Any claim by a third party related to your use of the App

11. Termination

11.1 By You

You may stop using the App at any time by uninstalling it from your Shopify store.

11.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms
  • Your use of the App poses a risk to other users or our infrastructure
  • We are required to do so by law
  • We discontinue the Service

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by our Privacy Policy.

12. Modifications to Terms

We may update these Terms from time to time. When changes occur:

  • The "Last Updated" date will be revised
  • Material changes may be communicated within the App or via email
  • Continued use of the App after changes constitutes acceptance of the updated Terms

If you do not agree with the updated Terms, you should uninstall the App.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, through appropriate legal channels.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
